Important Notice

Welcome to ZTRFM (the "Platform"), operated by Zhongtuo Cold Bending Technology (Hebei) Co., Ltd. ("ZTRFM", "we", or "us"). ZTRFM is a B2B sourcing platform connecting global buyers with verified Chinese roll forming and metal processing manufacturers.

Before registering or using our services, please read this Agreement carefully. Pay special attention to sections on limitation of liability, dispute resolution, and governing law, which are highlighted in bold.

By clicking "Agree", checking the confirmation box, or using the Platform in any way, you confirm that you have read, understood, and agree to be bound by this Agreement and all Platform Rules. If you do not agree to any part, please stop using the Platform immediately.

Article 1: Definitions

1.1 "ZTRFM" refers to the B2B sourcing platform operated by Zhongtuo Cold Bending Technology (Hebei) Co., Ltd., focusing on the cold roll forming and metal processing industry. The Platform includes its website (zt-rfm.com), mobile applications, and other access channels.

1.2 "Platform Services" include browsing products, posting RFQs, communicating with suppliers, placing orders, using the Factory Audit service, and accessing buyer/supplier management tools.

1.3 "User" refers to any individual or entity that registers on or uses the Platform. Users are categorized as "Individual Users" and "Enterprise Users."

1.4 "Supplier" refers to an enterprise user that operates a store on the Platform and offers goods or services. Unless explicitly marked as "Operated by ZTRFM," ZTRFM is not the direct seller.

1.5 "Account" refers to the credential set you use to access Platform Services.

Article 2: Account Registration and Management

2.1 Registration Eligibility. You must be a natural person with full civil capacity or a legally registered entity. If you register on behalf of a company, you confirm you have authority to bind that company.

2.2 Truthful Information. You must provide accurate registration information (name, phone, email, company name, position) and keep it current. We may require identity or enterprise verification. False information may result in account termination without liability.

2.3 Account Security. You are responsible for all activity under your account. Do not share your password. If you suspect unauthorized access, change your password immediately and contact service@zt-rfm.com.

2.4 Account Cancellation. You may cancel your account through Account Settings or customer service. Before cancellation, resolve all pending transactions and disputes. After cancellation, your data will be deleted or anonymized per applicable law.

Article 3: Platform Services

3.1 Platform Role. ZTRFM provides a trading venue and facilitation services. Product information, quotations, and specifications are posted by Suppliers. ZTRFM is not the seller unless explicitly stated, and makes no warranty regarding the accuracy of Supplier-posted information.

3.2 Factory Audit Service. ZTRFM offers an independent on-site factory inspection service. Audit reports reflect findings at the time of inspection and do not constitute a guarantee of ongoing supplier performance. Buyers use audit reports at their own discretion.

3.3 Service Changes. We may modify, suspend, or discontinue services with reasonable notice. We are not liable for disruptions caused by system maintenance, upgrades, force majeure, or third-party failures.

Article 4: User Conduct

You agree not to:

• Violate applicable laws, including those on import/export, customs, taxation, intellectual property, and data security;
• Post false, misleading, or infringing content;
• Impersonate another person or company;
• Use bots, scrapers, or scripts to extract data or disrupt Platform operations;
• Interfere with other users' legitimate use of the Platform;
• Attempt to circumvent Platform payment systems or transact outside the Platform to avoid fees.

You are solely responsible for all content you publish. ZTRFM may remove non-compliant content and restrict your account without prior notice.

Article 5: Orders, Transactions, and Payment

5.1 Orders. When you place an order, you enter into a purchase contract directly with the Supplier, not with ZTRFM. ZTRFM facilitates the transaction but is not a party to the sales contract.

5.2 Payment. Payments are processed through licensed third-party payment providers. ZTRFM does not directly collect or store your bank card information.

5.3 Delivery and Acceptance. Delivery terms are agreed between you and the Supplier. Upon receiving goods, inspect them promptly. If you find quality or specification issues, file a dispute through the Platform within the applicable period.

5.4 Refunds. Refund eligibility depends on the Supplier's return policy and applicable law. ZTRFM may assist in dispute resolution but cannot guarantee a specific outcome.

5.5 Prohibited Transactions. You may not use the Platform to purchase goods for resale in violation of applicable trade laws, sanctions, or export controls.

Article 6: Intellectual Property

6.1 Platform Content. All Platform software, design, logos, trademarks ("ZTRFM" and related marks), text, graphics, data compilations, and functional modules are owned by ZTRFM or its licensors. You may not reproduce, scrape, or distribute Platform content without written authorization.

6.2 User Content License. By posting content on the Platform, you grant ZTRFM a worldwide, royalty-free, non-exclusive license to use, reproduce, modify, publish, and display that content for Platform operation and improvement purposes. You warrant you have all necessary rights to grant this license.

6.3 Supplier Content. Suppliers retain ownership of their product images, specifications, and technical documents. Suppliers grant ZTRFM a license to display such content on the Platform.

Article 7: Privacy and Data Protection

Your privacy is important to us. Our collection, use, storage, and protection of personal information is described in detail in the ZTRFM Privacy Policy, which forms an integral part of this Agreement.

GDPR Compliance. If you are located in the European Economic Area, the United Kingdom, or Switzerland, you have the rights described in the Privacy Policy, including the right to access, rectify, erase, restrict, port, and object to the processing of your personal data. You also have the right to lodge a complaint with your local data protection authority.

Article 8: Cookies

We use cookies and similar technologies to operate the Platform, remember your preferences, analyze usage, and improve our services. We categorize cookies as "necessary" (required for basic functionality) and "non-necessary" (analytics, marketing). You can manage non-necessary cookies through your browser settings or our Cookie preference tool. Necessary cookies cannot be disabled as they are essential for the Platform to function.

Article 9: Limitation of Liability

To the maximum extent permitted by law:

• ZTRFM provides the Platform on an "as is" and "as available" basis, without warranties of any kind, express or implied;
• ZTRFM is not liable for indirect, incidental, consequential, or punitive damages arising from your use of the Platform;
• ZTRFM's total liability for any claim arising from this Agreement shall not exceed the total fees you paid to ZTRFM in the 12 months preceding the claim;
• The above limitations do not apply to damages caused by ZTRFM's intentional misconduct or gross negligence, or where prohibited by mandatory law.

Article 10: Force Majeure

Neither party shall be liable for failure or delay in performance caused by events beyond reasonable control, including natural disasters, epidemics, war, terrorism, government actions, labor disputes, internet infrastructure failures, or other force majeure events. The affected party shall notify the other promptly and take reasonable steps to resume performance.

Article 11: Agreement Modification

We may revise this Agreement based on changes in law, technology, or business needs. Revised versions will be published on the Platform and take effect 7 days after publication. For significant changes, we will notify you via email or in-platform notification. If you continue using the Platform after the effective date, you are deemed to accept the revised terms. If you disagree, you may stop using the Platform and cancel your account before the effective date.

Article 12: Dispute Resolution

12.1 Negotiation. Disputes shall first be resolved through friendly negotiation between the parties.

12.2 Governing Law. This Agreement is governed by the laws of the People's Republic of China (excluding conflict of laws rules).

12.3 Domestic Users. If negotiation fails, either party may submit the dispute to the competent people's court at the domicile of Zhongtuo Cold Bending Technology (Hebei) Co., Ltd.

12.4 International Users. If you are a user located outside China and negotiation fails, the dispute shall be referred to arbitration under the China International Economic and Trade Arbitration Commission (CIETAC) rules. The seat of arbitration shall be Beijing. The language shall be English. The arbitral award shall be final and binding on both parties. Alternatively, you may bring a claim in the courts of your country of residence where local law permits.

Article 13: Miscellaneous

13.1 Severability. If any provision is held invalid or unenforceable, the remaining provisions remain in full effect.

13.2 No Waiver. Failure to enforce any right does not waive that right.

13.3 Entire Agreement. This Agreement, including the Privacy Policy and all Platform Rules, constitutes the entire agreement between you and ZTRFM.

13.4 Language. This Agreement is drafted in Chinese. English and other language versions are for reference only. In case of discrepancy, the Chinese version prevails.
